Both are built on the MPEG-4 Part 12 base media file format, but .3g2 (3GPP2) was defined for CDMA2000 phones on carriers like Verizon and Sprint, while .3gp (3GPP) targeted GSM/UMTS phones. They differ in which speech codecs they carry — .3g2 adds CDMA codecs such as QCELP and EVRC — so they are not just two spellings of one file. Will converting 3G2 to AVI improve the video quality?

No. The phone recorded the video as H.263 or MPEG-4 at a small resolution, and re-encoding it into MPEG-4-in-AVI is one more lossy generation, not an upgrade. CDMA phones usually stored the soundtrack as QCELP, EVRC, or AMR-NB — narrowband speech codecs — and xconvert re-encodes that to MP3 for the AVI, because AVI players and Windows editors handle MP3 natively.
