MXF (Material Exchange Format) is the professional SMPTE wrapper that cameras and edit suites use for masters; MPEG-2 is the older DVD- and broadcast-era video codec. Converting from one to the other almost always means one thing in practice: you have a production master and you need a file a DVD authoring tool, a legacy editor, or a piece of broadcast hardware will actually accept. This tool transcodes the MPEG-2 essence inside (or out of) your MXF into a standalone .mpeg / .mpg file.
MPEG-2 (H.262 / ISO-IEC 13818) is a dated, less efficient codec than H.264 — it produces larger files for the same quality, and re-encoding never adds detail back. Pick MPEG-2 only when something downstream specifically requires it:

If the destination is a DVD, yes — by design. DVD resolution tops out at 720×576, so a 1080p MXF is downscaled, and MPEG-2 is less efficient than modern codecs, so it needs more bits to look the same. Re-encoding can't add detail that the lower resolution and older codec discard. If you only need a compatible file and not specifically a DVD, MP4 (H.264) keeps more quality at a smaller size.
It can be close to one. Many broadcast MXF files (for example D-10 / IMX) already carry MPEG-2 4:2:2 essence per SMPTE ST 381-1. Moving that into a .mpeg file is mostly unwrapping rather than a full re-encode, so quality stays close to the source. If you change resolution or bitrate, it becomes a true re-encode.

MPEG-2 dates to 1995 and compresses less efficiently than H.264 (2003) or HEVC. For a given visual quality it needs noticeably more bits, so the file is bigger. That trade-off only makes sense when the destination — a DVD or legacy hardware — can't read newer codecs. For everything else, convert to MP4 instead.
